1930 charsU.S. Securities and Exchange Commission Expands Confidential Review Accommodations for Asset-Backed Securities Issuers
On September 8, 2026, the U.S. Securities and Exchange Commission (SEC) Division of Corporation Finance expanded accommodations for issuers of asset-backed securities (ABS) submitting draft registration statements for nonpublic review. The expansion extends confidential review procedures to ABS issuers using Forms SF-1 and SF-3, building on enhanced accommodations the SEC announced in March 2025.
Under the new procedures, the SEC will review draft initial registration statements on a nonpublic basis for ABS issuers meeting specific criteria. For initial registrations—including first-time filings by depositors on Forms SF-1 or SF-3, new Form SF-3 filings by depositors without an effective registration statement, and new filings in previously unregistered asset classes—ABS issuers must confirm they will publicly file their registration statement and nonpublic draft submissions at least 15 days before any road show or, absent a road show, at least 15 days before the requested effective date. Staff comment letters and responses will be publicly released on the SEC's Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system no earlier than 20 business days following the registration statement's effective date.
For all other Securities Act registrations on Forms SF-1 or SF-3, the SEC will accept nonpublic review submissions provided the ABS issuer confirms public filing at least two business days before the requested effective time and date. The SEC will limit nonpublic review to the first submission; subsequent responses to staff comments must be filed publicly. The SEC stated it believes these accommodations facilitate capital formation in the ABS market without diminishing investor protection.
ABS issuers with questions about eligibility may contact the SEC at ABSDraftPolicy@sec.gov. The staff will monitor practices under these procedures and may modify, limit, or terminate them as needed.

U.S. Securities and Exchange Commission Expands Draft Registration Statement Accommodations for Asset-Backed Securities Issuers
On September 8, 2026, the U.S. Securities and Exchange Commission (SEC) Division of Corporation Finance expanded accommodations for issuers of asset-backed securities (ABS) submitting draft registration statements for nonpublic review. The expansion extends enhanced procedures previously announced in March 2025 to ABS issuers using Forms SF-1 and SF-3, permitting confidential staff review of draft initial registration statements and other Securities Act registrations.
Under the expanded framework, ABS issuers submitting initial registration statements on Forms SF-1 or SF-3 may request nonpublic review provided they confirm in a cover letter that the registration statement and nonpublic draft submissions will be publicly filed at least 15 days prior to any roadshow or, absent a roadshow, at least 15 days prior to the requested effective date. Initial registrations covered include first-time Securities Act filings by a depositor, new Form SF-3 filings by depositors without an effective registration statement, and new filings in asset classes for which the depositor lacks an effective registration statement. For all other Securities Act registrations on Forms SF-1 or SF-3, the SEC will accept nonpublic review of the first submission provided the issuer confirms public filing at least two business days prior to any requested effective time and date. The SEC will limit nonpublic review to initial submissions; responses to staff comments must be filed publicly. Staff comment letters and responses will be publicly released on the Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system no earlier than 20 business days following the registration statement's effective date.
ABS issuers should submit substantially complete draft registration statements and may request expedited processing. The SEC will monitor practices under these procedures and may modify, limit, or terminate them as warranted. Issuers with questions regarding eligibility should contact ABSDraftPolicy@sec.gov. The SEC stated these accommodations aim to facilitate capital formation in the ABS market without diminishing investor protection.

2371 charsU.S. Securities and Exchange Commission Expands Accommodations for Issuers of Asset-Backed Securities
On September 8, 2026, the U.S. Securities and Exchange Commission (SEC) Division of Corporation Finance expanded accommodations available for issuers that submit draft registration statements for nonpublic review to issuers of asset-backed securities (“ABS Issuers”) using Forms SF-1 and SF-3
According to the SEC, it will now review draft initial registration statements, and any revisions, submitted under the Securities Act on either Form SF-1 or Form SF-3 on a nonpublic basis so long as the ABS Issuer confirms in a cover letter to the nonpublic draft submission that it will publicly file its registration statement and nonpublic draft submissions at least 15 days prior to any road show or, in the absence of a road show, at least 15 days prior to the requested effective date of the registration statement.
The SEC will continue to publicly release staff comment letters and responses to those letters on the Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system no earlier than 20 business days following the effective date of a registration statement.
The review is limited to the following registration statements (initial registrations):
The initial registration statement of a depositor that has not previously filed a Securities Act registration statement on either Form SF-1 or Form SF-3.
A new registration statement on Form SF-3 filed by a depositor who, at the time of filing the draft registration statement, does not have an effective registration statement.
A new registration statement on Form SF-1 or Form SF-3 filed by a depositor registering an offering of ABS in an asset class for which it does not currently have an effective Securities Act registration statement.
The SEC will also accept for nonpublic review any registration statement on Form SF-1 or Form SF-3 other than the Initial Registrations listed above, so long as the ABS Issuer submitting such draft registration statement confirms in its cover letter that it will file the registration statement and nonpublic draft submission such that they are publicly available on the EDGAR system at least two business days prior to any requested effective time and date.
ABS issuers with questions about eligibility may contact the SEC at ABSDraftPolicy@sec.gov. The staff will monitor practices under these procedures and may modify, limit, or terminate them as needed.
