On August 5, 2026, the Ministry of Finance and Public Credit of Colombia issued Decree 1013 of 2026, amending Decree 2555 of 2010 across a broad range of securities market infrastructure and competitiveness matters. The Decree takes effect the day following its publication and introduces new titles and articles as well as amendments to existing provisions governing transaction registration systems, special equity sales, commodity exchanges, central counterparty clearing houses (CCPs), money market instruments, margin accounts, dividend payment mechanisms, and collective investment fund management.
Key provisions include:
Transaction registration systems for equity securities: A new Title 9 is added to Book 10 of Part 2 of Decree 2555 of 2010 , establishing a framework for registration systems for over-the-counter transactions in shares and bonds mandatorily convertible into shares. Recording is a mandatory condition for clearing and settlement. Failure to record transactions in a timely manner constitutes conduct contrary to market integrity under Law 964 of 2005 . Eligible transaction types are limited to repos, simultaneous transactions, temporary securities transfers, and those otherwise authorised by the Superintendencia Financiera de Colombia (Financial Superintendency of Colombia or SFC). All transactions must settle through the delivery-versus-payment mechanism. Transactions involving foreign agents, foreign securities, or foreign currency must comply with the foreign exchange regime of the Banco de la República.
Special transactions for the sale of equity securities: A new Title 10 is added establishing a framework for special off-exchange sale transactions in listed shares and equity securities registered in the National Registry of Securities and Issuers (Registro Nacional de Valores y Emisores or RNVE). Such transactions must ensure transparency, liquidity, and equitable treatment. Public notices must disclose transaction terms, security characteristics, payment form, trading methodology, base price, and applicable risk warnings. Payment may be made in Colombian legal tender, securities, or foreign currency. Transaction results must be published by the stock exchange on the following business day.
Commodity exchange reforms: Provisions governing agricultural, agro-industrial, and other commodity exchanges are amended, covering member admission and termination, corporate purpose, affiliate status, equity accounts, general obligations, conflicts of interest, self-regulatory functions, risk management, business continuity, advertising, disclosure, and transactions by insiders. Members and affiliates must be registered in the National Registry of Securities Market Agents (Registro Nacional de Agentes del Mercado de Valores or RNAMV), and registration with RNAMV is a mandatory condition for trading through any commodity exchange.
CCP interoperability: New provisions permit local CCPs to enter into interoperability agreements with foreign CCPs or equivalent internationally recognised entities supervised by an authority recognised as equivalent by the SFC. Agreements must address governance, collateral, prohibition on structural loss pooling, default management, risk management, business continuity, and dispute resolution. Full documentation must be submitted to the SFC and the Banco de la República at least 30 business days before entry into force.
Money market instruments: The framework for repos, simultaneous transactions, and temporary securities transfers on the over-the-counter market is updated. These transactions must be recorded in an authorised registration system and cleared through a clearing system or CCP. Terms may be freely agreed and may exceed 365 days. Eligible collateral is clarified to include Treasury Bills (Títulos de Deuda Pública or TES), exchange-traded fund units, cash or foreign currency, eligible foreign securities, investment-grade foreign sovereign debt, and qualifying fixed-income securities.
Margin accounts: The definition of margin accounts is updated to cover spot securities transactions for amounts exceeding contributed funds, where open position settlement is funded through a related repo, simultaneous transaction, or temporary transfer. Over-the-counter margin account transactions must be expressly identified as such at the point of registration, with systems required to implement the necessary traceability mechanisms. Minimum margin requirements are set by clearing systems and CCPs in accordance with their risk models.
Dividend payment mechanism: The dividend payment regime for RNVE-registered share issuers is updated to formally define the ex-dividend period, record date period, and payment or distribution period. Central securities depositories establish procedures for the record date and payment periods; the ex-dividend period is governed by the relevant stock exchange. Special rules apply to foreign-issued shares listed in Colombia and to cross-listed shares.
Management of foreign collective investment and private equity funds: Colombian managers of collective investment funds and private equity funds may provide management services to equivalent vehicles established abroad, provided the foreign fund holds authorisation from its home supervisory authority, which retains supervisory responsibility. Managers must notify the SFC at least 15 business days before commencing services.
Non-standardised derivatives and structured products: Over-the-counter transactions in non-standardised derivative financial instruments and structured products other than foreign exchange must be registered, with registered transactions benefiting from the legal protections of Article 74 of Law 1328 of 2009 . Foreign agents authorised by the Banco de la República may participate in trading and registration systems for these instruments.
The decree comes into effect the day following its publication.
