2030 charsFederal Deposit Insurance Corporation Proposes Rule Amending Confidential Information Disclosure Requirements
On June 25, 2026, the Federal Deposit Insurance Corporation (FDIC) Board of Directors approved a notice of proposed rulemaking that would amend the FDIC's Rules and Regulations governing the disclosure of confidential supervisory information. The proposed rule aims to provide insured depository institutions (IDIs) with greater flexibility to share confidential information for appropriate business purposes while simplifying and clarifying the FDIC's disclosure rules under the Freedom of Information Act (FOIA) and in connection with litigation.
The proposed rule would authorize IDIs, IDI parent holding companies, and other entities to disclose FDIC confidential information to their affiliates, attorneys, auditors, accountants, and other service providers without seeking prior FDIC approval, subject to certain conditions. IDI service providers that are subject to FDIC examination would also be permitted to share confidential information with partner IDIs without obtaining prior approval. Additionally, the rule would permit IDIs to disclose confidential information in connection with prospective mergers or the hiring of a senior executive officer for whom an offer of employment has been made, subject to specified limitations.
The proposed rule would reorganize, simplify, and clarify the FDIC's regulations governing FOIA disclosures and align the FDIC's protections for confidential commercial information with Executive Order 12600. The rule would clarify the FDIC's process for providing notice to submitters of commercial information before such information may be disclosed in response to a FOIA request. The proposal would also revise, reorganize, and simplify regulations governing service of process on the FDIC and disclosure of confidential information in connection with legal proceedings when the FDIC is not a party.
The comment period for the proposed rule extends for 60 days after publication in the Federal Register. Responses should be submitted in accordance with the Federal Register notice.
