2039 charsSaudi Arabia's Capital Markets Authority Launches Public Consultation on Securities Business Activities
On May 18, 2026, the Capital Markets Authority (CMA) launched a public consultation on developing securities business activities in the Saudi capital market. The consultation seeks feedback from all interested persons and market participants on proposed regulatory amendments designed to enhance the efficiency of conducting securities business in line with international best practices. The consultation period runs for 30 calendar days, ending on June 17, 2026.
The proposed amendments include several key changes to licensing and operational requirements. The CMA proposes to facilitate licensing and business commencement by dispensing with certain information and documents previously required in licensing applications, such as Terms of Business. The amendments reduce the minimum capital requirement for Custody activities from SAR 50 million to SAR 20 million, and establish a minimum capital requirement of SAR 2 million for Arranging activities involving client funds in securities-based crowdfunding. The CMA also proposes to introduce sub-activities under Dealing business with differentiated minimum capital requirements: SAR 20 million for Dealing as Principal, Underwriting, and Executing Transactions on a Margin Basis; and SAR 10 million for Dealing as Agent activity. Additional proposals enable Capital Market Institutions licensed solely for Advising activities to engage in other professions subject to specified controls, and develop Know Your Client (KYC) requirements by linking them to customer money laundering and terrorism financing risk classifications.
The CMA notes that the number of capital market institutions has more than doubled since 2017, growing from 86 to 215 institutions by the fourth quarter of 2025. Stakeholders can submit comments through the Unified Electronic Platform for Consulting the Public and Government Entities at istitlaa.ncc.gov.sa or via email to Laws.Regulations@cma.org.sa using the prescribed form. The CMA will consider all feedback when finalising the proposed amendments.
