The Securities and Exchange Board of India (SEBI) has released a consultation paper on modification in the regulatory framework for online bond platform providers (OBPPs) including measures for promoting ease of doing business.
The consultation paper proposes:
Expansion to IFSCA regulated products including permitting online bond platform providers to offer products, securities, or services regulated by the International Financial Services Centres Authority (IFSCA) provided they comply with Foreign Exchange Management Act guidelines and overseas investment rules, mandating that these offerings follow the manner specified for SEBI-registered stock brokers operating within the GIFT-IFSC, and requiring the disclosure of investor grievance redressal mechanisms for such products.
Inclusion of tax-saving bonds stipulating that online bond platforms may offer bonds issued under section 54EC of the Income Tax Act, 1961, or section 85 of the Income-tax Act, 2025, requiring providers to disclose specific instrument features such as eligible issuers, lock-in periods, and tax features, and mandating a clear disclaimer stating that grievance redressal for these specific tax-saving instruments falls outside SEBI's purview and must be directed to the issuer.
Compliance officer appointment criteria aligning the regulatory framework for appointing a compliance officer for online bond platform providers with the requirements for stock brokers under the SEBI (stock brokers) regulations, 2026, thereby removing the mandatory stipulation of exclusively appointing a company secretary.
