1808 charsIndia's Securities and Exchange Board Launches Consultation on Variable Net Worth Requirements for Stock Brokers
On April 24, 2026, the Securities and Exchange Board of India (SEBI) launched a consultation on the review of variable net worth requirements for stock brokers.
Variable net worth is a key prudential requirement that stock brokers must maintain to ensure financial stability and protect client interests. The consultation seeks to examine whether current variable net worth standards remain appropriate given evolving market conditions, operational risks, and technological developments in Indian securities markets. By reviewing these requirements, SEBI aims to ensure that brokers maintain adequate capital buffers proportionate to their business activities and risk exposures. This review is significant for stock brokers as it may result in changes to their capital adequacy obligations, potentially affecting their operational capacity and compliance costs. The outcome could also impact market participants relying on broker services, as adjusted net worth requirements may influence broker stability and service quality.
Market participants, including stock brokers, investors, and other stakeholders in India's securities industry, are invited to submit comments on the consultation paper. The consultation provides an opportunity for brokers to present their views on whether current variable net worth thresholds are calibrated appropriately and whether adjustments are warranted based on current market dynamics. Responses can be submitted through SEBI's public comments portal. The specific deadline for submission should be confirmed on SEBI's official website.

The Securities and Exchange Board of India (SEBI) has released a consultation paper and draft circular regarding the review of variable net worth requirements for stock brokers.
The draft circular prescribes:
Calculation methodology revisions including shifting away from calculating variable net worth based on retained client cash balances, as the new upstreaming framework mandates that client funds be transferred to clearing corporations, leaving brokers with minimal retained cash.
Average credit balance requirements mandating that the variable net worth calculation include an amount equal to 10 percent of the average credit balance of all clients over the previous six months across all segments and exchanges.
Direct active client parameters requiring a variable net worth addition of INR 5,000,000 (US$ 60,000) for brokers with more than 10,000 and up to 50,000 active direct clients , and stipulating a further INR 5,000,000 (US$ 60,000) for every additional 50,000 active direct clients or part thereof.
Authorised Person (AP) client parameters stipulating additional net worth requirements of INR 500,000 (US$ 6,000) for up to 2,500 AP clients, INR 2,500,000 (US$ 30,000) for more than 2,500 and up to 10,000 AP clients, and INR 5,000,000 (US$ 60,000) for every subsequent 10,000 active AP clients or part thereof.
