1737 charsThailand's Central Bank Opens Consultation on Financial Institution Leadership Appointment Guidelines
On March 4, 2025, the Bank of Thailand (BoT) launched a public consultation on draft guidelines for approving the appointment of board members, managers, management officers, and advisors of financial institutions, their parent companies, and financial business subsidiaries (Version 2). The consultation period runs until March 18, 2025.
The revised guidelines aim to provide clarity for financial institutions and financial business groups while maintaining the original intent of Section 24(6) and Section 24(7) of the Financial Institution Business Act, B.E. 2551 (2008). These provisions prevent conflicts of interest and improper benefits arising from individuals holding positions as board members, managers, management officers, or advisors of financial institutions, their parent companies, and financial business subsidiaries.
The draft guidelines include two key amendments. First, the BoT refined terminology to accommodate cases where individuals hold positions as board members and/or management officers of parent companies and financial business subsidiaries of branch-less commercial banks within the same group as traditional commercial banks. Second, the guidelines now cover management of subsidiaries of parent companies or joint ventures that are overseas banking groups, where management officers may be appointed as executive board members of financial institutions in Thailand.
Stakeholders can submit comments using the provided feedback form. Additional information and the full draft guidelines are available on the BoT website. For further inquiries, contact the Corporate Governance Division, Financial Institution Policy Department at 0 2283 6875, 0 2356 7703, or 0 2283 6287, or email CG-RPD@bot.or.th.
