TITLE: U.S. Securities and Exchange Commission Charges Former Tricolor Holdings Executives With Fraud

On August 18, 2026, the U.S. Securities and Exchange Commission (SEC) charged Daniel Chu, Jerome Kollar, and Ameryn Seibold—the former chief executive, chief financial officer, and Senior Director of Finance, respectively, at Texas-based Tricolor Holdings, LLC—with fraud in connection with the company's $1.9 billion collapse. The SEC alleges the three executives orchestrated a multi-year scheme to defraud investors by double pledging hundreds of millions of dollars in subprime auto loans to multiple asset-backed securities (ABS) offerings and lenders between 2020 and Tricolor's bankruptcy in September 2025.
According to the SEC's complaint, filed in the U.S. District Court for the Southern District of New York, the defendants made numerous false and misleading representations to investors about Tricolor's financial health, portraying the company as sound despite knowing it faced significant liquidity constraints and operational funding difficulties. In offering materials and meetings, Tricolor represented that loans included in ABS collateral pools were free of other liens, when the defendants knew many had been or would soon be double pledged. The defendants also allegedly manipulated loan metrics to make non-paying or defaulted loans appear current and therefore eligible for securitization pools. More than $945 million in principal from the ABS offerings remained outstanding at the time of bankruptcy.
The SEC charges the defendants with violating antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. The agency also charges Chu with control person liability and all defendants with aiding and abetting liability. The SEC seeks injunctive relief, disgorgement of ill-gotten gains with prejudgment interest, civil penalties, and officer and director bars against Chu and Kollar. The U.S. Attorney's Office for the Southern District of New York announced parallel criminal charges against all three defendants in December 2025.
