TITLE: British Columbia Securities Commission Sanctions Green Hygienics Holdings and Ronald Wayne Loudoun for Cease Trade Order Breaches

On June 12, 2026, the British Columbia Securities Commission (BCSC) issued sanctions against Green Hygienics Holdings Inc. and Ronald Wayne Loudoun following a liability hearing that established multiple breaches of a cease trade order (CTO). The panel, chaired by Vice Chair Gordon Johnson with Commissioners Noordin Nanji and Douglas Seppala, found that Green Hygienics and Loudoun violated the CTO through the issuance of treasury shares, promissory notes valued at approximately $3.1 million, and personal share transfers between 2019 and 2022.
The BCSC determined that Loudoun, who held controlling interest in Green Hygienics through a company with initials ACI, was aware of the CTO as early as 2017 and intentionally breached it. The panel found that Loudoun personally transferred 250,000 shares valued at $125,000 and facilitated additional share trades while the CTO remained in effect. Green Hygienics issued shares to at least 51 investors and two promissory notes during the prohibition period. The panel concluded that both respondents were enriched by their misconduct, with investors who purchased shares during the CTO period suffering financial losses as they could not legally sell their holdings.
The BCSC ordered Loudoun to resign any directorship or officer position and imposed broad market prohibitions lasting until June 12, 2032, or until he pays an administrative penalty of $50,000, whichever is later. Loudoun is prohibited from becoming or acting as a director, officer, registrant, or promoter, and from engaging in management, consultative, or promotional activities in securities or derivatives markets. Green Hygienics faces a trading prohibition lasting until June 12, 2031, or until it pays a $20,000 administrative penalty, whichever is later. The BCSC permitted non-insider shareholders to sell shares on foreign organized regulated markets to mitigate the impact on innocent investors.
