TITLE: European Union Commission Publishes Delegated Regulation Establishing Reduced Content Requirements for Follow-on and Growth Issuance Prospectuses

On June 15, 2026, the European Commission published Commission Delegated Regulation (EU) 2026/773, which amends Commission Delegated Regulation (EU) 2019/980 to establish reduced content requirements and standardised formats for two new short-form prospectuses: the EU Follow-on prospectus and the EU Growth issuance prospectus.
The regulation implements requirements introduced by Regulation (EU) 2024/2809, which aimed to make public capital markets in the European Union more attractive for companies and facilitate capital access for small and medium-sized enterprises (SMEs). The EU Follow-on prospectus applies to secondary issuances by companies already listed on regulated markets or SME growth markets, while the EU Growth issuance prospectus targets SMEs and companies listed or seeking listing on SME growth markets.
The delegated regulation establishes significantly streamlined disclosure requirements compared to existing simplified prospectus regimes, which expire on March 5, 2026. It specifies different content requirements for equity and non-equity securities, with further distinctions between retail and wholesale investors for non-equity offerings. The regulation mandates standardised formats and sequences for prospectuses, with risk factors appearing prominently to enhance investor protection. For non-equity securities, issuers may prepare prospectuses as single documents or separate registration documents and securities notes. Base prospectuses receive flexible formatting provisions to maintain efficiency. The regulation introduces provisions for European Green Bond factsheets, classifying such information as Category C for base prospectus purposes under Regulation (EU) 2023/2631.
The regulation entered into force on the third day following publication in the Official Journal of the European Union and applies directly across all member states. Issuers, offerors, and competent authorities must implement these requirements when processing prospectuses under the new regimes.
