TITLE: Ontario Securities Commission Seeks Comment on Proposed Amendments to Issuer Bid, Take-Over Bid and Beneficial Ownership Reporting Regimes

On May 14, 2026, the Ontario Securities Commission (OSC), as part of the Canadian Securities Administrators (CSA), published a notice and request for comment on proposed amendments and changes to the issuer bid, take-over bid, and beneficial ownership reporting regimes.
The proposed amendments aim to modernise and clarify the regulatory framework governing issuer bids, take-over bids, and beneficial ownership reporting requirements. These regimes are fundamental to the functioning of Canadian capital markets, establishing rules for how companies conduct share repurchases, how bidders must proceed with acquisition attempts, and how market participants must disclose significant shareholdings. The amendments are intended to address evolving market practices and enhance the clarity and effectiveness of existing regulations for market participants, including issuers, bidders, and investors.
The CSA is seeking feedback from stakeholders on the proposed amendments to ensure the regulatory framework remains fit for purpose and responsive to market developments. Interested parties, including securities dealers, investment firms, issuers, and other market participants, are invited to submit comments on the proposals. The comment period and submission deadline will be specified in the full notice document. Responses received will inform the final form of any amendments adopted by the OSC and other CSA members.
