TITLE: British Columbia Securities Commission Proposes Amendments to Early Warning System Reporting Requirements BODY: The British Columbia Securities Commission (BCSC) has proposed amendments to National Instrument 62-103 The Early Warning System and Related Take-Over Bid and Insider Reporting Issues. The proposed amendments modernise disclosure requirements for significant security position changes and clarify reporting obligations for eligible institutional investors. Key proposed changes include: revising the definition of "equity security" to reference National Instrument 62-104; removing the "news release" definition; updating the definition of "significant change in a related financial instrument position" to capture economic effects of derivatives and other related financial instruments involving securities of reporting issuers; and requiring eligible institutional investors not relying on exemptions to issue and file a news release stating their eligibility and intent to file reports for a specific reporting issuer. The amendments also modify reporting thresholds and timing requirements. Eligible institutional investors must file reports within 10 days after the end of the month in which their securityholding percentage increases or decreases past 12.5 percent or each 2.5 percent threshold above that level. The proposed changes expand disclosure forms 62-103F1, 62-103F2, and 62-103F3 to require reporting of economic exposure to issuers, in addition to securityholding impacts, and to address material terms of agreements affecting such exposure. The amendments aim to enhance transparency regarding significant changes in security positions and economic interests in reporting issuers, particularly for institutional investors using derivative instruments and other financial arrangements. The instrument comes into force on a date to be specified, with special provisions for Saskatchewan regarding filing with the Registrar of Regulations.
