TITLE: Canadian Securities Administrators Propose Amendments to Issuer Bid, Take-Over Bid and Beneficial Ownership Reporting Regimes BODY: On May 14, 2026, the Canadian Securities Administrators (CSA) published proposed amendments and changes to multiple national instruments and policies governing issuer bids, take-over bids, and beneficial ownership reporting in Canada. The proposals aim to enhance flexibility for issuers conducting share repurchases, increase transparency regarding derivative interests, and clarify existing early warning reporting requirements. The CSA proposes introducing a new selective repurchase exemption allowing issuers to acquire up to 5 percent of outstanding securities of a class within a 12-month period from no more than 5 persons in no more than 5 transactions, provided securities are purchased at a discount to the closing market price and a liquid market exists. Enhanced disclosure requirements would apply to equity equivalent derivatives and related agreements that alter economic exposure during take-over bids and proxy solicitations requiring information circulars. The proposals also clarify early warning reporting triggers, including deemed acquisitions when an issuer becomes a reporting issuer and when joint actor relationships form or cease. Additional amendments address settlement timing, remove the 5 percent market purchase exemption during take-over bids, expand non-reporting issuer exemptions, and facilitate modified Dutch auction issuer bids and proportionate tender options. The comment period closes on August 12, 2026. Stakeholders may submit comments through the CSA consultation portal at https://www.securities-administrators.ca/consultations/. The CSA will distribute submissions to participating members and publish comments on relevant provincial securities commission websites.
