TITLE: United Arab Emirates Central Bank Issues New Exchange Business Regulation

On 26 June 2025, the Central Bank of the United Arab Emirates (CBUAE) issued Regulation C 7/2025, which came into effect immediately upon publication. This regulation establishes a comprehensive licensing and supervisory framework for exchange business activities in the United Arab Emirates, replacing the previous Regulations re Licensing and Monitoring of Exchange Business issued in 2014.
The regulation defines exchange business as the provision of currency exchange, remittances, salary processing through the wages protection system, and special products including banknotes shipment. It establishes four licensing categories: Category I (full exchange business activities); Category II (currency exchange and remittances); Category III (currency exchange only); and Category IV (digital remittances without physical outlets). Applicants must meet specific legal form, ownership, and capital requirements, with minimum paid-up capital ranging from AED 2 million to AED 25 million depending on the licence category and legal structure.
The regulation imposes stringent governance requirements, including mandatory board structures, designated management positions, and three mandatory committees (audit, risk, and regulatory and financial crime compliance). Licensed persons must maintain comprehensive anti-money laundering and counter-terrorism financing compliance, implement appropriate information technology infrastructure, and establish business continuity management frameworks. Financial ratio requirements address paid-up capital to equity, total assets to capital, liquidity, and debt-to-equity ratios.
The CBUAE retains broad supervisory and enforcement powers, including the authority to conduct announced and unannounced examinations, impose sanctions, and withdraw licences. The regulation permits transitional arrangements of up to 90 calendar days from the effective date for entities to achieve full compliance.
