TITLE: Australian Securities and Investments Commission Issues $792,000 in Infringement Notices to Canva Group Companies for Late Financial Report Lodgement BODY: On 26 September 2025, the Australian Securities and Investments Commission (ASIC) issued infringement notices totalling $792,000 to four companies within the Australian Canva Group for failing to lodge their financial reports by the required deadline. Canva Pty Ltd, Canva Operations Pty Limited, Canva Trading Pty Ltd, and Fusion Books Pty Ltd each received an infringement notice of $198,000 for not lodging their financial reports for the financial year ending 31 December 2024 by the 30 April 2025 due date. Canva Pty Ltd subsequently lodged its consolidated report covering the four companies on 27 March 2026. The infringement notices relate to financial reporting misconduct, which ASIC has identified as a 2026 enforcement priority. ASIC Commissioner Kate O'Rourke stated that non-lodgment and late lodgement of financial reports prevent creditors and other users from making timely and informed decisions when dealing with companies, constituting a failure of legal obligations. ASIC has issued 21 infringement notices worth more than $4 million for alleged financial year 2024 financial reporting breaches, in addition to court-imposed fines exceeding $1.1 million against three public companies. Large proprietary companies are required to prepare and lodge annual financial reports if they meet at least two of the following criteria: consolidated revenue of $50 million or more, consolidated gross assets of $25 million or more, or 100 or more employees. Payment of an infringement notice does not constitute an admission of guilt or liability. ASIC confirms that Canva Australia Holdings Pty Ltd, through which the Canva Group reports for the financial year ending 31 December 2025, lodged its financial reports on 30 April 2026. ASIC continues targeted, data-driven surveillance to identify non-lodgment and late lodgement of financial reports, with enforcement action ongoing.
