TITLE: Poland's Financial Supervision Authority Issues Final Decision on Geotrekk SA Administrative Fine

On April 24, 2026, Poland's Financial Supervision Authority (Komisja Nadzoru Finansowego) issued a final decision regarding Geotrekk SA's violations of public offering regulations.
The authority rescinded a previous decision from July 18, 2017, which had imposed a fine of PLN100,000 on Geotrekk SA for breaches of Article 70 points 1, 2, and 3 of the Public Offering Act. In its place, the Financial Supervision Authority imposed a reduced fine of PLN40,000 for multiple failures to comply with information disclosure obligations.
The violations included the improper submission of current reports between March 2012 and November 2014, which omitted required information mandated under Article 69(4) of the Public Offering Act. Additionally, Geotrekk SA failed to disclose shareholder lists identifying those holding at least 5 percent of voting rights within the required seven-day period following six general shareholders' meetings held between June 2012 and December 2015. These failures constituted breaches of Article 70 point 1 and point 3 of the Public Offering Act.
The decision followed a Warsaw Regional Administrative Court ruling on October 15, 2019, which annulled the Financial Supervision Authority's May 29, 2018 decision and remanded the matter for reconsideration. The court provided guidance on applying Article 70 point 1 and penalty mitigation principles. The authority also noted that the repeal of Article 70 point 2 on November 30, 2019, necessitated the revised penalty.
Geotrekk SA may appeal the final decision to the Warsaw Regional Administrative Court.
