TITLE: Sweden's Financial Supervisory Authority Sanctions Property Company for Consolidated Financial Statement Deficiencies

On February 18, 2026, Finansinspektionen (FI), Sweden's financial supervisory authority, issued a caution and an administrative fine of SEK 80 million to Samhällsbyggnadsbolaget i Norden AB (SBB) for violations of financial reporting rules regarding the preparation of consolidated financial statements.
FI's investigation, initiated following a review by the Swedish Board for Financial Reporting Supervision, identified multiple deficiencies in SBB's 2021 consolidated financial statements. The company failed to report certain properties at fair value and incorrectly classified two acquisitions as asset acquisitions rather than business combinations. These errors resulted in the reported consolidated profit before tax for 2021 being overstated by SEK 3.6 billion, an incorrect consolidated statement of financial position, and missing disclosures regarding the character and financial impact of the acquisitions in question.
FI emphasised that accurate consolidated financial statements are fundamental to investor protection and market confidence, particularly in Sweden's capital markets. For property companies with significant commercial real estate holdings, valuation accuracy is critical as these assets are frequently used as collateral for loan-based financing. Incorrect valuations can distort credit risk assessments and the distribution of loan financing among market participants. Additionally, bond market terms and conditions are often linked to loan-to-value ratios and asset values, making valuation matters directly relevant to lenders' risk assessments.
FI's decision has been appealed to the Administrative Court. Under the Securities Market Act, FI may issue a caution for violations, which can be combined with an administrative fine, and may also order firms to make corrections to their financial statements.
